Optima HR Group is a boutique HR consulting firm that provides strategic human resources solutions, including but not limited to:

  • HR strategy consulting and advisory services

  • Fractional HR support and outsourced HR management

  • HR audits, assessments, and compliance reviews

  • Talent acquisition and workforce planning support

  • HR training, workshops, and educational resources

  • Online HR resources and community access (e.g., HR Strategy Lab on Skool)

  • Newsletter and email communications via Flodesk

  • Consultation scheduling via Calendly

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

3. Eligibility

By using our Site and Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. User Accounts and Registration

Certain features of our Services may require you to create an account or provide personal information. You agree to:

  • Provide accurate, current, and complete information during registration or when contacting us

  • Maintain the security and confidentiality of any login credentials

  • Promptly notify us of any unauthorized use of your account

  • Accept responsibility for all activities that occur under your account

We reserve the right to terminate accounts or refuse service at our sole discretion.

5. Payments, Fees, and Refunds

5.1 Fees

Some of our Services are provided for a fee. All fees are stated in U.S. dollars and are due at the time of purchase or as otherwise agreed in a separate service agreement. We reserve the right to change our fees at any time, with advance notice where practicable.

5.2 Payment Processing

Payments are processed through third-party payment processors. By providing payment information, you authorize us and our payment processors to charge the applicable fees. We do not store your full payment card details on our servers.

5.3 Refunds

Refund eligibility varies by service type and will be specified at the time of purchase or within any applicable service agreement. Consulting retainers and completed service hours are generally non-refundable. If you believe a refund is warranted, please contact us at marya@optimahrgroup.com within 14 days of purchase.

6. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, downloadable resources, templates, training materials, and the overall design, is the property of Optima HR Group or its content suppliers and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site and any purchased materials for your own internal business purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without our prior written consent.

7. Acceptable Use

You agree not to use our Site or Services to:

  • Violate any applicable local, state, national, or international law or regulation

  • Infringe the intellectual property rights of Optima HR Group or any third party

  • Transmit any unsolicited or unauthorized advertising or promotional material

  • Upload or transmit viruses, malware, or any other harmful code

  • Attempt to gain unauthorized access to any part of our Site or systems

  • Scrape, crawl, or harvest any data from our Site without written permission

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site

8. Confidentiality

In the course of providing consulting services, we may exchange confidential business information. Both parties agree to keep confidential any non-public information shared in connection with the Services and to use such information solely for the purposes of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Third-Party Services and Links

Our Site integrates with and may contain links to third-party platforms, including Squarespace, Calendly, Flodesk, Skool, and social media platforms (Instagram, Threads, LinkedIn). These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, practices, or policies of any third-party service, and your use of them is at your own risk.

10. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. HR consulting guidance provided through our Services is for informational and strategic purposes only and does not constitute legal advice. For specific legal compliance matters, we recommend consulting a qualified employment attorney.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPTIMA HR GROUP AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total cumulative liability to you for any claims arising out of or related to these Terms or the Services exceed the greater of (a) the total fees paid by you to Optima HR Group in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Optima HR Group and its owners, officers, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site or Services, your violation of these Terms, or your violation of any rights of another person or entity.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall first be submitted to good-faith negotiation. If the parties cannot resolve the dispute informally within 30 days, the matter shall be submitted to binding arbitration in Atlanta, Georgia, in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

14. Termination

We reserve the right to terminate or suspend your access to our Site and Services, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Site and Services will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) shall continue to apply.

15. Privacy

Your use of our Site and Services is also governed by our Privacy Policy, located at www.optimahrgroup.com, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy.

16. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any applicable service agreements or engagement letters, constitute the entire agreement between you and Optima HR Group with respect to the subject matter herein and supersede all prior and contemporaneous understandings and agreements.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
